    ELIGIBILITY: Open only to persons who are 18 years of age or older and who are residents of the United States of America, Australia, United Kingdom, Republic of Ireland and Republic of Singapore. Employees, contractors and vendors of HubSpot, Inc., and family members and/or business partners of HubSpot, Inc. employees, are not eligible to enter the contest. Family members includes, but is not limited to, partner, spouse, parents, children, dependents, siblings, aunt, uncle, niece and nephew. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law. NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. FOR THE AVOIDANCE OF DOUBT, PURCHASING HUBSPOT SUBSCRIPTION SERVICES DURING THE CONTEST PERIOD WILL NOT IMPROVE YOUR CHANCES OF WINNING.

    CONTEST PERIOD: The entire contest period shall run from 12:00 noon EST on June 26, 2017 to 23:59 pm EST on August 20, 2017 (the "Contest Period"). The Contest Period will be made up of two phases as follows:

    Phase 1

    The first phase of the Contest begins at 12:00 noon EST on June 26, 2017 and ends at 23:59 EST on July 23, 2017 or when 10,000 entries have been received, whichever is the earlier (the "Phase 1 Contest Period"). Entrants will only be eligible to be selected to move forward to Phase 2 of the Contest if the entry was properly submitted and timely received during the Phase 1 Contest Period.

    Phase 2

    The second phase of the Contest begins at 12:00 noon EST on August 7, 2017 and ends at 23:59 EST on August 20, 2017 (the "Phase 2 Contest Period"). The winner will be selected from entries properly submitted and timely received during the Phase 2 Contest Period.


    PHASE 1 ENTRY: Participants shall enter the Contest by submitting their transformative startup idea in no more than 25 words as a direct reply to the Contest call to action post on HubSpot's facebook page (www.facebook.com/hubspot) during the Phase 1 Contest Period. Limit one (1) entry per person, per e-mail address, and per household during the Phase 1 Contest Period via online entry, regardless of whether a person has more than one address or more than one person uses the same address. The order and visibility of the entries does not impact a participant's likelihood of winning as all entries validly submitted during the Phase 1 Contest Period will be assessed in accordance with these Official Rules. Entries from multiple facebook profiles owned by the same person will be disqualified. If duplicate entries are received from the same person during the Phase 1 Contest Period, only the first entry will be considered valid. Any entries submitted during the Phase 1 Contest Period that are copied from another participant, or are substantially similar to an earlier entry, will also be will be disqualified. If a participant edits their entry after submitting the entry, the time of the edited entry will be considered as the time of submission by the participant. Any entries that are edited by participants after the Phase 1 Contest Period has ended will result in disqualification.

    ALTERNATIVE MEANS OF ENTRY: In lieu of an online entry, you may enter the Contest by mailing a standard-size postcard with your name and email address to: HubSpot #SummerStartup Entries, c/o HubSpot, Inc., 25 First Street, Cambridge, MA 02141. Postcard entries must be postmarked during the Phase 1 Contest Period to be eligible for the Phase 2 selection process, and no more than one postcard from an individual may be submitted during the Phase 1 Contest Period. If you are selected to move forward to Phase 2 of the Contest, you will be required to obtain internet access to participate in Phase 2 of the Contest.


    PHASE 2 SELECTION: HubSpot will select 1000 entries submitted during the Phase 1 Contest Period to move forward to Phase 2 of the Contest. This selection will be based on what HubSpot, in its sole discretion, considers to be the most transformative startup ideas. During the Phase 2 Contest Period the participants must:

    (i) Complete an identity verification questionnaire which will enable HubSpot to verify the identity of the Phase 2 participants. In order to complete the questionnaire Phase 2 participants will be required to provide HubSpot with certain personally identifiable information such as the participant's name, address, SSN number, passport number, date of birth and other information required for tax purposes; and

    (ii) Submit a two (2) minute video pitch further describing the transformative startup idea submitted by the participant during the Phase 1 Contest Period.

    In order for an entry to be properly submitted during the Phase 2 Contest Period, and to be considered valid, the participant must complete both (i) and (ii) above. For the avoidance of doubt, if a participant fails to complete either (i) or (ii) above, the participant will not be considered for the winner selection. Submission of false, misleading or inaccurate information by a participant will result in disqualification. The first 100 entries properly and validly submitted during the Phase 2 Contest Period will be considered by the judging panel for the winner selection as set out below.


    WINNER SELECTION: There will be one (1) winner (the "Winner"). On September 11, 2017 the Winner will be determined by a panel of (subject) experts employed by HubSpot or its affiliates and an independent member. The panel will select the Winner based on (i) the first 100 valid entries submitted during the Phase 2 Contest Period, (ii) the originality of the startup idea, and (ii) the extent to which the startup idea would be transformative to the relevant industry. The Winner will be selected from entries received during the Phase 2 Contest Period only. The potential Winner will be notified via email to the same email address submitted by the participant during the Phase 2 Contest Period within two (2) weeks after the selection by HubSpot. The Winner's name will also be published on the Contest's web page www.facebook.com/hubspot within two (2) weeks after their selection for thirty (30) days. The selection will be conducted by HubSpot, the judge of the Contest, whose decisions on all matters relating to the Contest shall be final. In the event that a potential winner is disqualified for any reason, HubSpot may, in its sole discretion, award the applicable prize to an alternate winner selected by the panel of judges.


    PRIZES/ODDS OF WINNING PRIZE: The Winner will receive a cash amount of USD$100,000, a HubSpot Marketing Basic three-year subscription worth USD$7,800, a HubSpot Sales Pro three-year subscription worth USD$1,800 and four (4) x 1 hour sessions with leading startup advisors worth USD$8,000 within six (6) weeks of being notified. Approximate Retail Value (ARV) of the total prize: USD$117,600 USD. Overall odds of winning depends on number of entries received during the Contest Period. No prize substitution or cash equivalent of prize. No prize transfer.


    CONDITIONS: HubSpot reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest (or portion thereof). HubSpot also reserves the right at its sole discretion to disqualify the entry of any individual. All federal, state, local and income taxes (as applicable) on prize and any expenses not specified herein are the sole responsibility of the participants and the Winner. In case the participants and/or Winner fail to comply with the applicable laws or pay the requisite taxes, the participants and/or Winner shall indemnify HubSpot of any losses, expenses, costs, actions, claims incurred by HubSpot as a result of such non-compliance. Should a dispute arise regarding the identity of the claimant, HubSpot reserves the sole right to determine the eligible party. BY ENTERING, PARTICIPANT WAIVES ALL RIGHTS TO BRING (AND COVENANTS NOT TO BRING) ANY CLAIM AGAINST HUBSPOT OR ANY OTHERS ASSOCIATED WITH THIS CONTEST. PARTICIPANTS FURTHER AGREE TO RELEASE AND HOLD HARMLESS HUBSPOT FROM ANY AND ALL LIABILITY ARISING FROM THEIR PARTICIPATION IN THE CONTEST, OR HUBSPOT'S USE OF ANY ENTRY INFORMATION. No participant shall show HubSpot in a bad light. Entries, posts and video submissions shall be original and must not infringe upon the legal rights, including copyrights, trademarks, contract rights, or any other intellectual property rights of any other person or entity. In the event any entries, posts and video submissions are not original or are in breach of any third party rights, the participant shall be responsible for indemnifying HubSpot for any resulting losses, damages, expenses, costs, loss of face and goodwill. All posts, entries and video submissions shall comply with the laws of the Commonwealth of Massachusetts and shall not be in bad taste, in defamation of someone, obscene or in breach of any rights of a third party. Any posts, entries and video submissions found by HubSpot to be in violation of the foregoing shall be removed from public viewing and disqualified from the competition. Any disputes that may arise hereunder shall be governed in all respects by the laws of the Commonwealth of Massachusetts without regard to the conflicts of laws principles of any jurisdiction. Venue with respect to any such disputes shall be had in the state and federal courts of the Commonwealth of Massachusetts.


    THIRD PARTY WEBSITES: This Contest is in no way sponsored, endorsed or administered by, or associated with Facebook or any of their affiliates. YOU RELEASE FACEBOOK OF ALL LIABILITY RELATED TO THIS CONTEST TO THE FULL EXTENT PERMITTED BY LAW. Any participant who creates multiple accounts with Facebook for the purposes of increasing the odds of winning this Contest will be disqualified.     PUBLICITY AND RELEASE: As a condition of entry into the Contest, except where prohibited by law, each participant grants to HubSpot all right, title and interest in, to publicize, broadcast, display and/or otherwise use, the Contest participant's name, city, state, country and biographical material, image, and any other content submitted in relation to the Contest (collectively, "Licensed Rights") in any media for advertising and publicity purposes, without additional review, compensation, or approval by the participant. As a further condition of entry into the Contest, each participant grants to HubSpot a worldwide, royalty-free, non-exclusive, perpetual license to display, reproduce, distribute, prepare derivative works of, and otherwise use any of any original content submitted with a participant's entry, in any media and for any purpose, without additional review, compensation, or approval by the participant. Winner does not respond to notification, or is not present when prize delivery is attempted, such prize will be forfeited. By participating, participants agree to be bound by these Official Rules and the decisions of the judges, which are final and binding in all respects.
