HubSpot Technology Partner Supplementary Program Agreement

PLEASE READ THIS TECHNOLOGY PARTNER PROGRAM SUPPLEMENTARY AGREEMENT CAREFULLY.

 

This Supplementary Agreement supplements the HubSpot Technology Partner Program Agreement (the “TPPA”) between HubSpot, lnc., (“us”, “we”, "HubSpot") and
You or Partner.
 
Please note that this Supplementary Agreement outlines the additional terms and conditions applicable to your participation in the Technology Partner Catalyst Program (the “Program”). This Program is an Optional Participant Program in accordance with Section 9 of the TPPA and available to select Technology Partner Program participants, by invitation from HubSpot only.
 
By participating in the Program, you are granting HubSpot all rights and permissions to take actions reasonably necessary to effectuate the purpose of the Program. For terms and conditions that otherwise apply to your participation in the Technology Partner Program, see the TPPA available at https://legal.hubspot.com/technology-program-agreement.
 
Terms not otherwise defined herein will have the meanings set forth in the TPPA. Details of Partner’s participation in the Program and the Partner Objectives are outlined in the table below:
 Term of Supplementary Agreement

Six (6) months from the Supplementary Agreement Effective Date, unless earlier terminated in accordance with this Supplementary Agreement.

 

Renewal. At HubSpot's sole discretion, the Term may be extended for one (1) additional six (6) month period ("Renewal Term"). Any Renewal Term is subject to Partner's demonstrated engagement and progress against the Program. In no event shall Partner's total participation in the Program exceed twelve (12) months.

 Program Overview

The Program (referred to as "Catalyst") is a time-limited accelerator sub-program within the Technology Partner Program. Catalyst provides temporary, elevated access to select benefits and enablement to help Partner build momentum and accelerate success within the HubSpot ecosystem.

At the conclusion of the Term, HubSpot will evaluate Partner's participation and determine one of the following outcomes:

  • Graduation: Partner meets Technology Partner Program thresholds for a higher tier and transitions accordingly.

  • Extension: Partner is granted a Renewal Term (one-time only).

  • Completion: Partner's Catalyst status ends, and Partner continues under the TPPA at Partner's then-current tier.

 

Partner Obligations

Catalyst Goals. Partner shall collaborate with HubSpot to develop mutually agreed on Catalyst Goals defining priority use cases, milestones, and outcomes for the Term. Partner commits to use commercially reasonable efforts to achieve the objectives set forth in the Catalyst Goals.

Designated Contacts. Partner shall designate and maintain throughout the Program Term:

  • A business lead with decision-making authority for the partnership; and

  • A technical owner for Partner's integration.

 

Engagement Requirements. Partner agrees to:

  • Attend required program calls (kick-off, midpoint review, final review);

  • Respond to HubSpot communications in a timely manner;

  • Participate in program surveys and feedback requests; and

  • Share relevant metrics, customer examples, and learnings as reasonably requested.

 

Program Benefits

Subject to the terms of this Supplementary Agreement, HubSpot will provide Partner with access to a curated selection of benefits, which may include:

  • Named Technology Partner Manager

  • Goal-based technical and product consulting from Solutions Architects

  • Eligibility for accelerated or prioritized Certification review

  • Eligibility for the Co-Selling program (upon meeting separate readiness criteria)

  • Eligibility for the Partner Growth Accelerator program

  • HubSpot Catalyst Partner badge and associated marketing assets

  • Consideration for joint marketing opportunities

  • Early access to select product and beta programs

Benefit Limitations. Partner acknowledges and agrees that:

  • All Catalyst benefits are temporary and limited to the Program Term;

  • All Catalyst benefits are discretionary and may be modified or withdrawn by HubSpot at any time;

  • Catalyst participation does not guarantee access to any specific benefit, co-sell arrangement, marketing opportunity, certification outcome, or future tier status;

  • Technical consulting is scoped to the agreed Catalyst Roadmap and does not constitute unlimited consulting services; and

  • Eligibility for certain benefits (e.g., Co-Selling, Program Growth Accelerator, Certification) is subject to separate program criteria.

Badge Usage. Partner may use the HubSpot Catalyst Partner badge solely in accordance with HubSpot's Brand Guidelines and solely on Partner's own marketing channels (website, social media, sales materials). The badge does not modify Partner's marketplace tier designation. Upon termination or expiration of Catalyst participation, Partner may continue to reference participation in past tense only (e.g., "Former HubSpot Catalyst Partner" or "Participated in HubSpot Catalyst Partner Program [Year]").

  1. Partner Objectives. You will complete the obligations set out in the table above (together “Partner Objectives”), according to the terms specified herein. HubSpot and Partner will have regular check-ins to evaluate Partner's progress and the effectiveness of the Program. We encourage you to provide Feedback to us regarding the Program throughout the Term. Partner understands that participation in this Program does not guarantee any increase in sales and does not contemplate any other incentives.

  2. Term and Termination. The Term of this Supplementary  Agreement shall be as stated in the above table. HubSpot shall have the option to extend the Term of this Supplementary Agreement upon written notice to Partner.

    2.1 Termination for Convenience. HubSpot may terminate Partner’s participation in this Program at any time upon written notice to the Partner. Such termination shall not affect Partner's status under the TPPA. Notwithstanding the foregoing, this Supplementary Agreement shall terminate immediately upon the effective termination of your participation in the Technology Partner Program in accordance with the TPPA, section ‘13. Terms and Termination’.

    2.2 Termination for Cause. HubSpot may terminate Partner's participation immediately upon notice if Partner: (a) materially breaches this Supplementary Agreement or the TPPA; or (b) fails to demonstrate reasonable engagement or progress.

    2.3 Effect of Termination. Upon termination or expiration of Program participation: (a) all Program benefits shall immediately cease; (b) Partner shall cease use of the Program badge except as permitted under Badge Usage above; and (c) Partner shall continue as a Technology Partner under the TPPA at Partner's then-current tier.

  3. Warranties. Both parties represent and warrant to the other that they have the authority to enter into this Supplementary Agreement. You represent and warrant that (i) you have the necessary permissions and/or legal basis to perform activities that are necessary or will help you achieve the Partner Objectives; (ii) you will comply with all applicable laws and regulations; and (iii) your participation in this Program will not conflict with any of your existing agreements or arrangements. PARTICIPATION IN THE PROGRAM DOES NOT GUARANTEE ANY SPECIFIC OUTCOME, INCLUDING BUT NOT LIMITED TO: TIER ADVANCEMENT, CO-SELL PARTICIPATION, CERTIFICATION, LEAD GENERATION, REVENUE, OR ANY COMMERCIAL ARRANGEMENT.

  4. Compliance with Laws. You will comply with all laws in your participation in this Program, including any applicable export laws and data protection laws. HubSpot may review your business practices to ensure your compliance with the terms in this Supplementary Agreement.

  5. Limitation of Liability. IN NO EVENT SHALL WE HAVE ANY LIABILITY WHATSOEVER ARISING FROM YOUR PARTICIPATION IN THIS PROGRAM OR RELATED TO YOUR INTERACTION OR RELATIONSHIP WITH YOUR CUSTOMERS OR PROSPECTS IN CONNECTION WITH THIS PROGRAM.

In the event of a conflict between these terms and the TPPA, these terms shall control.
