The Role

We’re hiring a Vice President, Corporate Legal to lead HubSpot’s global corporate, securities, and governance function. You’ll be the company’s principal legal advisor on public-company reporting, corporate governance and compliance, and strategic transactions.

This role blends precision with pragmatism. You’ll be accountable for getting it right—ensuring the accuracy, completeness, and integrity of our disclosures and governance practices—while staying grounded in the business realities of a fast-moving, AI-native company.

Reporting to the Chief Legal Officer, you’ll partner closely with the executive leadership, as well as Finance, Accounting, Investor Relations, and Corporate Development. You’ll serve as a trusted advisor to HubSpot’s Board of Directors—driving effective Board conversation and governance.

What You’ll Do

1. Excel in Public-Company Reporting

Bring rigor and sound judgment to every disclosure.

  • Oversee SEC and other public company reporting compliance, including 10-K, 10-Q, 8-K, proxy statements, and disclosure controls.

  • Partner with Finance and Investor Relations to ensure reporting accuracy and cohesive market messaging.

  • Guide teams through earnings cycles and regulatory events with clarity and confidence.

  • Manage HubSpot’s insider-trading and executive-ownership programs, including Section 16 filings and Rule 10b5-1 plan oversight.

2. Uplevel Board Interactions

Ensure sound governance and effective Board operations.

  • Serve as a trusted interface for the Board and committees—planning meeting cadence to support effective governance and strategy conversations, capturing minutes, and facilitating clear information flow.

  • Advise on director independence, charters, policies, and insider-trading compliance.

  • Coordinate proxy-advisor engagements and annual-meeting logistics with Finance and IR.

  • Oversee subsidiary and entity governance worldwide to maintain a clean corporate structure and compliance.

3. Shape Strategic Transactions and Investments

Enable smart, scalable growth through collaboration.

  • Partner with Corporate Development and HubSpot Ventures on M&A and investment activities from term sheet through integration.

  • Structure and negotiate transactions that balance speed, risk management, and long-term value.

  • Collaborate across teams to build repeatable legal playbooks for seamless deal execution and integration.

4. Build and Scale the Corporate Legal Team for an AI-First Future

You bring HubSpot’s “easy, fast” product mindset to Legal—building systems that scale judgment, not just people, and leveraging AI to build a hybrid legal team of the future.

  • Design for leverage. Build a legal operating model that uses AI, automation, intelligent workflows, and self-service tools to streamline how teams receive corporate and governance support—fewer bottlenecks and backlogs.

  • Develop for scale. Structure, mentor, and evolve the team to match HubSpot’s growth—ensuring depth in key specialties while maintaining flexibility and speed.

  • Empower with clarity. Create tools, templates, and playbooks that make complex processes simple and repeatable across the company.

  • Lead with culture. Foster a high-performing, inclusive team where curiosity, agility, and ownership are the norm—and Legal is seen as a growth enabler, not just a risk manager.

What You’ll Bring

  • 15 + years of corporate and securities law experience at public companies and/or top law firms.

  • Deep expertise in ’34 Act reporting, Section 16 compliance, Rule 10b5-1 plans, and corporate-governance best practices.

  • Experience advising Boards and executive teams in a high-growth, global environment.

  • Proven ability to support M&A and venture transactions from diligence through integration.

  • Track record as a practical practitioner—able to translate complex requirements into business-ready solutions.

  • Systems-oriented thinker who builds repeatable processes and measures what matters.

  • Inspirational people leader who develops high-performing, inclusive teams.

  • JD and active bar membership (required).

Pay & Benefits

The cash compensation below includes base salary, on-target commission for employees in eligible roles, and annual bonus targets under HubSpot’s bonus plan for eligible roles. In addition to cash compensation, some roles are eligible to participate in HubSpot’s equity plan to receive restricted stock units (RSUs). Some roles may also be eligible for overtime pay. Individual compensation packages are tailored to your skills, experience, qualifications, and other job-related reasons.

Annual Cash Compensation Range:
$274,800$467,200 USD
